Description

Join members of AIA Colorado North (Boulder) on Friday, April 11, at 3 p.m., for a Special Meeting to vote on merging all of the Local Chapters with AIA Colorado. This is the first step in our efforts to reposition AIA Colorado in an effort to reduce administrative redundancies and focus more resources on member services.

A reception will take place following the vote at Boulder Associates. Complimentary food and drink will be served.

It is critical that we have a member quorum for AIA COLORADO and AIA COLORADO NORTH (see below) in order to move forward with these important decisions. To be eligible to vote, you must be an AIA or Assoc. AIA member in good standing (2014 dues are paid). RSVPs are requested.

Pursuant to C.R.S. §7-127-109, the Board of Directors of AIA Colorado North recommends approval by the voting members of AIA Colorado North of (i) the Plan of Merger between AIA Colorado and the four AIA Colorado Local Chapters (AIA Denver, AIA Colorado North, AIA Colorado South, and AIA Colorado West) and (ii) the AIA Colorado North Restated Articles of Incorporation. Copies of the proposed Plan of Merger, the proposed Amended and Restated Articles of Incorporation, proposed AIA Colorado Bylaws, Merged Asset Allocation Policy and FAQ are available online for your review.

At the Special Meeting, AIA Colorado North members will be asked to vote "for" or "against" the Plan of Merger, which would result in AIA Colorado North merging into AIA Colorado and ceasing existence as a separate legal entity. In addition, the AIA Colorado North Board of Directors recommends the voting members of AIA Colorado North vote "for" the restated AIA Colorado North Articles of Incorporation. This is a technical correction of the existing Articles of Incorporation, establishing that AIA Colorado North is recognized as a 501(c)(6) nonprofit corporation, thus making the terms of the proposed Plan of Merger possible.

The number of members present to meet the AIA Colorado North quorum requirement is not defined in the chapter's current bylaws, therefore pursuant to C.R.S. §7-127-205, twenty-five percent (25%) of its assigned members in good standing constitute a quorum at this meeting. In order for the motions to pass, the number of "for" votes must exceed the number of "against" votes submitted by a quorum of voting members present.
